Welcome to Universality. These Terms of Service ("Terms") are an agreement between you and Universality ("Universality", "we", "us") about the Universality website, dashboards and related services (the "Service"). Brands set up campaigns; creators ("clippers") post short videos about them on their own accounts and are paid for verified views. Email us at [email protected], or use Get help in your dashboard.
By signing in, or by ticking the box on a sign-in page, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service. Other documents apply when they concern you: the Cookie Policy, the Clipper Terms and Community Guidelines for clippers, the Brand Terms for brands, and the Copyright Policy. If they conflict, the more specific one wins.
1. Changes to these Terms
We may change these Terms. We will post the new version here with its date, and tell you in the dashboard (or by email) about important changes, usually at least 14 days before they apply, unless the law or safety requires sooner. If you keep using the Service after that date, you accept the change. If you do not accept it, stop using the Service. Earlier versions are kept, and we keep a record of which version you accepted and when.
2. Who can use the Service
- You must be at least 13 years old, and old enough to use online services where you live (some countries set a higher age: for example 14 in some EU countries, 15 in France, 16 in Germany and Ireland).
- If you are under 18 (or under the age of majority where you live), you may use the Service only with your parent's or guardian's permission. They accept these Terms for you and are responsible for your use. Cash-outs must go to a payment account held by an adult (you, if you are 18 or older, or your parent or guardian).
- Brand accounts must be used by adults who are allowed to act for the business.
- You must give true information, keep it up to date, and not be barred by law from using the Service. You must not be in, or ordinarily resident in, a country or region under comprehensive sanctions, or on a sanctions or denied-party list.
- We do not check your age. If we learn that someone is younger than allowed, we may close the account and delete their information.
3. Your account
- You sign in with Discord or, where we offer it, Google. You are responsible for that sign-in and for everything done through your account. Tell us at once if you think someone else used it.
- A Discord account and a Google account are separate accounts here. You may have several accounts on one device, but each follows these Terms, and we may review accounts that share an IP address, a device or a verified email to make sure nobody is paid twice or is getting around the rules. A shared address is not a breach on its own.
- The TikTok and Instagram accounts you link must be yours. A social account can be linked to one Universality account.
- Your display name, picture and the views on your approved clips can appear on our public leaderboard (you can hide yourself in Settings). Your profile (display name, @username, picture, cover, bio) is shown to other signed-in members. Names, pictures, covers and bios must not contain curses, slurs or sexual content, or pretend to be Universality, our team or another person; we may change them if they do.
- You may not sell, share or transfer your account.
4. The Service
- Clippers join campaigns, post, submit clips and earn under the Clipper Terms.
- Brands work with us on campaigns under the Brand Terms.
- Clippers are independent creators, not employees or agents of Universality or of any brand.
- We may change, pause or end any part of the Service, and campaigns may end or run out of budget. We do not promise that a campaign will run for any time, or earn any amount.
5. Payments, wallets and taxes
- We are not a bank. Money moves through third-party payment providers (for example Stripe, PayPal or a wallet), who may need to verify your identity before paying you, and whose terms apply to you. Fees and currency conversion by those providers may apply.
- Earnings are shown in the dashboard as calculated figures. They become money only when they reach your wallet. How earnings are counted, paid, held and reversed is in the Clipper Terms; what brands pay and when it is refunded is in the Brand Terms.
- You are responsible for taxes on what you earn or pay. We may ask for tax or residency details before paying, may withhold tax if the law requires, and may hold a payment until we have them.
- We may refuse, hold or reverse a payment for the reasons in those documents, or if the law (for example sanctions, anti-money-laundering or a court order) requires. We may report to authorities and payment providers where the law allows.
6. What you must not do
You must follow the Community Guidelines. In short, you must not:
- inflate views, likes or other numbers, or use bots, scripts, view farms or engagement groups;
- use several accounts to be paid more than once or to avoid a ban, or use someone else's account;
- submit videos you did not post, or fake or edit audience screenshots;
- break the law or the rules of TikTok, Instagram, Discord, Google or any other platform;
- attack, overload, scrape, reverse engineer or get around the security of the Service, or access other people's data;
- harass, threaten, scam or spam anyone, or ask for anyone's login details;
- post content that is illegal, sexual, violent, hateful, or that you have no right to share;
- build a competing service from our data, or resell access to the Service.
7. Your content
You keep the rights you have in what you post. You give us a worldwide, non-exclusive, royalty-free licence to host, store, show, copy and adapt it (for example, resize it) as needed to run and promote the Service, and the licences in the Clipper Terms apply to clips. You promise that you have the right to share your content, that it does not infringe anyone's rights or the law, and that it is not harmful. We may remove content that breaks these Terms. Copyright claims are handled under the Copyright Policy.
8. Ending or limiting your access
You can stop using the Service at any time and ask us to delete your data (see the Privacy Policy). We may warn you, limit, suspend or close an account, remove content, and end or change a campaign if you break these documents, if the law requires it, or to protect people or the Service. Where we can, we tell you why and how to answer. What happens to money is in the Clipper Terms. A person whose account was closed for breaking the rules may not create a new one without our permission.
9. Third-party services
The Service works with Discord, Google, TikTok, Instagram, Stripe, Cal.com and other services. They have their own terms and privacy policies, which apply to your use of them. We are not part of them, they do not endorse us, and we are not responsible for them. If a platform limits or removes our access, numbers may stop updating.
10. Ownership of the Service
The Service, including its software, design, texts, data and trademarks, belongs to us or our licensors. We give you a limited, revocable, non-transferable right to use it as these Terms allow. You may not copy or exploit it otherwise.
11. Disclaimers
The Service is provided "as is" and "as available". To the extent the law allows, we do not promise that it will be uninterrupted, accurate or error-free, that any campaign will earn any amount, or that platforms will show, count or keep your content or accounts. Statistics come from other platforms and can be corrected later.
12. Limitation of liability
The law gives some people rights that cannot be waived; these Terms do not take them away. Subject to that, we are not liable for indirect, consequential or lost-profit losses, or for losses we could not reasonably have foreseen, or for the acts of other platforms or users. Our total liability to you for any claim about the Service is limited to the greater of (a) what you have earned and not yet been paid and (b) CAD $100, except where the law does not allow such a limit (for example fraud, or harm caused on purpose or by gross negligence).
13. Indemnification
To the extent the law allows, you will defend and compensate us and our team from claims, losses and costs from third parties that arise from your content, your breach of these Terms or the law, or your use of the Service in a way these Terms do not allow, except to the extent we caused them. If you are a consumer, this applies only to the extent the law allows.
14. Disputes and governing law
- These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules.
- If you have a problem, please tell us first (email [email protected] or use Get help in your dashboard) and give us 30 days to try to fix it.
- If that does not work, either of us may go to the courts of Ontario, which can hear the case. If you are a consumer, you may also use the courts of the place where you live where your local law gives you that right.
- Nothing here takes away protections that the law of the place where you live gives you and that cannot be waived (for example consumer or data protection rights in the EU, the UK, Quebec or California).
15. General
- Entire agreement. These Terms and the documents they refer to are the whole agreement between us about the Service.
- Severability. If a part cannot be enforced, the rest still applies.
- No waiver. If we do not enforce a right straight away, we have not given it up.
- Assignment. You may not transfer your account or these Terms. We may transfer ours to a business that takes over Universality, if it keeps to them.
- Electronic notices. You agree to receive notices electronically (in the dashboard, your Inbox, or by email), and to keep your contact details current. You can send us a notice using the details in Contact.
- No changes by staff. Only a new version of these Terms, posted here, changes them.
- Language. If we give a translation, the English version governs where the law allows.
