Brand Terms

These Brand Terms apply when you set up a campaign with Universality. They are part of your agreement with us together with the order or brief we agree with you (the "order"), the Terms of Service, and, for restricted products, section 10. If they conflict, the order wins on price, budget and dates, and these terms on everything else. We keep a record of when you accepted them and which version. "You" is the business named on the brand account; by signing in as a brand you confirm you are allowed to act for it and accept these terms for it.
1. What we do
We set up your campaign with you (brief, rate per 1,000 views, limits per clip, any budget); let clippers join; review clips before they count; count verified views through the platforms; show you the clippers on your campaigns (display name and the names of the accounts they posted from), their clips and statistics; pay clippers as set out in the Clipper Terms; and may pause, change or end a campaign under these terms.
2. What we do not promise
A budget is a limit, not a promise: the most a campaign is meant to pay out. We do not promise that it will be spent, that a number of clippers will join, or that any views, sales, followers or other results will be reached. We promise the process we control (setting up, reviewing clips, counting views, paying clippers as agreed), not the outcomes on the platforms. Platform numbers can be corrected and clips can be removed by the platform or the clipper.
3. Clippers are independent
Clippers post on their own accounts and are not your or our employees. We ask them to follow the brief and the advertising rules, and we act when they do not, but we cannot promise what a clipper says or does outside a campaign's rules.
4. What you give us and promise
You give us the brief and any material (footage, music, logos, product information). You promise that: you own it or have the rights and permissions to give it to us and the clippers for the campaign (including music, performances, trademarks, the likeness of people in it, and licences); you may ask clippers to promote what you ask them to promote; your claims about your products are true and you will give us evidence for objective claims (health, money, performance, comparisons) when we ask; your products, services and instructions follow the law and platform rules and have any licence or approval they need; and you answer and approve what we need within the time in the order or a reasonable time. We may refuse, pause or stop a campaign for any product, or because material or claims are not supported, or for brand-safety, legal or platform reasons.
5. Rights in clips
Clippers keep the rights in their clips and give us and you a licence to show, share and repost them for the campaign, as in the Clipper Terms. For more (for example paid advertising, longer use, a territory) write it in the order and we will get the clippers' agreement. You get no rights in Universality's name, software, dashboards, data or methods beyond following your campaigns.
6. Price, payment, taxes and refunds
- The order says the budget, our fee, taxes (shown separately; if we must charge GST/HST or other tax we add it), when and how you pay and in which currency. Payment providers may charge fees and convert currency; we show them where we can.
- The budget pays clippers for approved clips at the campaign's rate. A campaign pauses when its budget is used up; you can renew it. We do not spend more than the budget on clippers unless you agree in writing.
- Cancelling before it starts: you get back what you paid, less non-returnable provider fees, unless the order says otherwise. After it starts: money earned by clippers for approved clips and our fee for work already done are not refundable. Unspent budget (not owed to clippers for clips still being counted, for up to 14 days) is returned or credited as the order says, within 30 days after the last clip locks, to the method you paid with, less non-returnable fees. If we cannot run the campaign because of something on our side, we return what you paid for what was not delivered. If you delay or change a campaign (late material or approvals, changes), dates move and we may charge reasonable extra costs we told you of in advance.
- Late payment may pause the campaign and, where the order allows, carry reasonable interest. If you think a charge is wrong, tell us within 30 days (email [email protected] or use Get help in your dashboard); please talk to us before a chargeback, and we will correct mistakes. Charging back a correct amount may pause the campaign.
- Where we hold campaign money for clippers, we use it to pay clippers. What we can hold or reverse follows our payment provider's terms and the law.
7. Information about clippers
You see information about clippers on your campaigns only for that campaign, and may use it only for the campaign and to follow up on it. Do not contact clippers outside the Service about it, use it to market to them, build lists, profile them, or share it (except with advisers and providers who need it and keep it private). Keep it secure, delete it when you no longer need it, follow privacy law, and tell us at once if it was lost or used without permission.
For information we hold for you on your instructions (private analytics, customer lists, other personal information you give us for a campaign): we use it only for the campaign and as you tell us; keep it secure with the safeguards in our Privacy Policy and limit access; may use providers (hosting, storage, payments) who keep to terms that protect it; tell you without undue delay, and within 72 hours of being sure, if it was lost, stolen or used without permission; help you answer people who ask about their information; and at the end of the campaign, or on request, delete it or return it unless the law requires us to keep it (backups go on our normal cycle). Which of us decides the purposes and means for a given piece of information is the one responsible for it; if a law needs a particular arrangement (for example a data processing addendum), we will sign what it requires.
8. Confidentiality
Each of us keeps the other's non-public information (unreleased products, plans, prices, the order) private, uses it only for the campaign, and shares it only with people and advisers who need to know and keep it private. This does not cover information that is public, already known, received lawfully from someone else, or developed independently, and a party may share it when the law or a court requires, after telling the other if allowed. It continues for two years after the campaign ends and while the information stays a trade secret.
9. Portfolio
We use your name, logo, results, quotes or clips in our own marketing only if you say yes, separately from the order. It is optional, says where and for how long, and you may take it back for future use at any time (we stop in new content within 14 days). Without a yes, we do not name you.
10. Restricted products
Campaigns about financial products and services, crypto, gambling and betting, alcohol, tobacco, vaping and cannabis, health, medical or weight-loss products and claims, political or election advertising, products aimed at children or teens, or anything that needs a licence or approval, need a separate legal review before they open and extra rules in the order: proof of your licences and where they apply, the audience (ages and countries) that may and may not be targeted, required warnings and wording, allowed and forbidden claims, clipper eligibility (age, country), and who approves content and answers takedowns. A simple age box is not treated as enough. We may decline them and may pause one or remove content at once for a legal or safety problem.
11. Changes, ending, responsibility, law
- You can suggest changes from your dashboard or by writing to us; nothing changes until we apply it. A change that affects clippers' pay or work applies to clips posted after it, unless they agree otherwise.
- Either of us may end a campaign by writing to the other; approved clips keep what they earned. We may pause or end a campaign at once if you break these terms, if it puts clippers, the platforms or us at risk, if the law requires, or if you do not pay. Payment, rights, confidentiality, responsibility and law continue after the end.
- Our total liability to you for claims about a campaign is limited to the fees you paid us for it (not counting amounts passed to clippers), except where the law does not allow it; neither of us is liable for indirect or lost-profit losses. You will compensate us for claims and losses because the material or claims you gave us break someone's rights or the law, or because you broke these terms; we will tell you promptly of a claim and give reasonable help.
- The laws of Ontario and the federal laws of Canada that apply there govern these terms, and the dispute steps in the Terms of Service apply.
